Terms of Service

1. The Service

LocalAd lets local businesses purchase advertising slots on physical postcards that we print and mail to homes within defined geographic zones. Each card carries a limited number of slots, each ad receives a unique QR code, and scan activity is reported back to you through your dashboard.

2. Eligibility & Accounts

You must be at least 18 years old and authorized to bind the business you represent. You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity that happens under your account. Notify us immediately at hello@localad.io if you suspect unauthorized access.

3. Ad Slots, Drops & Exclusivity

Each postcard drop targets a specific zone and ships on a scheduled drop date. Slots are sold on a first-come, first-served basis, with a single business per category per drop (the “one per category” rule).

• First-come, first-served. Slots are not held while you design. The slot is yours only when payment clears. If another buyer pays for the same slot, or a different business in your category pays for any slot on the same card before you do, your checkout is blocked and no charge is made; you can save your designs to your account and pick a different spot.
• Confirmation. A slot is confirmed only when payment has successfully cleared and you have approved a final ad design.
• Drop changes. Drop dates and routes are estimates. If a drop meets the minimum fill requirement, it proceeds to print. If a drop does not meet the minimum fill requirement, we cancel the drop and notify all buyers (see Section 4, Underfill Policy, for your options).

4. Payment, Refunds & Underfill Policy

Payment is processed at checkout through our payment processor. By submitting payment information you authorize us and our payment processor to charge the full slot price plus any applicable taxes and fees shown at checkout.

• Before printing. If you cancel before your card enters production (typically 7 days before the drop date), you may request a full refund.
• After printing. Once your ad is sent to print, the order is non-refundable.
• Underfill policy. If a drop is cancelled because it did not reach the minimum fill requirement, we will notify you by email within 24 hours and give you three options: (1) Roll over: your ad moves to the next available drop in the same zone for the same position type at no extra charge; (2) Store credit: we issue a credit equal to the full amount paid, valid for 12 months toward any future LocalAd purchase; or (3) Full refund: we refund the full amount to your original payment method within 5–10 business days. You have 7 days from the cancellation notice to choose. If you do not respond within 7 days, we will automatically roll your ad over to the next available drop.
• Credits. Store credits issued under the underfill policy are non-transferable, have no cash value, and are automatically applied at checkout. They expire 12 months from the date of issue.
• Chargebacks. Initiating a chargeback for a delivered ad is a breach of these Terms and may result in account suspension and collection of the disputed amount plus reasonable fees.

5. Your Content & Ad Approval

You are responsible for the business information, logos, URLs, phone numbers, and other content you submit (“Your Content”). You represent that you own or have the right to use Your Content and that it does not infringe any third-party rights.

You grant LocalAd a worldwide, royalty-free, non-exclusive license to host, copy, adapt, render, and display Your Content as needed to generate, print, mail, and report on your ads, and to display your finished ad as a portfolio sample on our marketing pages. This license ends when the ad lifecycle (printing, mailing, and analytics retention) ends, except that we may retain finished ad images for portfolio use.

All ads are subject to our Ad Content Policy. We may decline, edit, or remove ads that violate the policy, applicable law, or USPS mailing standards. If we reject an ad before printing, we will offer a redesign or refund.

6. AI-Generated Designs

LocalAd uses AI to draft ad designs from the information you provide. You must review and approve every design before it is finalized for print. By approving a design, you confirm that it accurately represents your business and complies with these Terms and our Ad Content Policy. We are not responsible for typos, misstatements, or claims you approve.

7. QR Codes & Tracking

Every ad receives a unique QR code that resolves through localad.io/q/<code> to your destination URL. We log scan events (timestamp, coarse location, device class, and a hashed fingerprint) to deliver analytics. You may update your destination URL at any time, but you may not redirect the QR code to content that violates these Terms or the Ad Content Policy. We may disable QR codes that point to prohibited content.

8. Acceptable Use

You agree not to:

• upload content you do not have the right to use;
• impersonate another business or misrepresent your identity;
• submit ads that violate the Ad Content Policy;
• attempt to interfere with the Service, scrape data, or circumvent rate limits or access controls;
• resell, sublicense, or repackage the Service without our written consent.

9. Intellectual Property

The Service, including the LocalAd brand, software, card templates, and aggregate analytics, is owned by Kastana LLC and protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, no license is granted by implication.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service you consent to the practices described there.

11. Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, the Ad Content Policy, or applicable law. You may close your account at any time by contacting hello@localad.io. Sections that by their nature should survive (payment obligations, content licenses, IP, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

12. Disclaimers

The Service is provided “as is” and “as available.” We do not guarantee a specific number of scans, leads, customers, or revenue from any ad. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data. Our total liability arising out of or relating to the Service in any 12-month period will not exceed the amounts you paid to us during that period.

14. Indemnification

You agree to defend, indemnify, and hold harmless Kastana LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or applicable law.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Oregon, without regard to its conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Multnomah County, Oregon, and you consent to personal jurisdiction there. The parties waive any right to a jury trial.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
